Anna is the embodiment of the highly performing multi-specialist legal expert. Drawing on her broad corporate exposure, market practice insights and deep understanding of emerging governance issues and applicable regulatory requirements, Anna provides her clients with guidance that is tailored to their specific circumstances. In her corporate practice, she advises companies on domestic and cross – border mergers and acquisitions and other corporate transactions including corporate restructuring, joint ventures, and demergers, leveraged buyouts and carve-outs, recapitalizations and refinancing, and other private commercial transactions and wider governance issues.
Anna advises clients on ISDA master agreements, dispositions, and investments across a wide variety of industries, including technology and financial services. She also focuses on risk and compliance under the ISD, the MiFID and the MiFID II regimes and on corporate governance issues.
In her diverse expertise, Anna provides clients with tax advice across a wide array of matters from sale of companies to stock option plans.
Anna is particularly experienced in providing legal advice to major international investors and concession holders in the context of the privatization program of Greek State assets by the Hellenic Republic Asset Development Fund (HRADF).
She has advised credit institutions, UCITS, listed companies and large corporations they face and on specific matters, including drafting of all types of contracts for credit institutions and investment firms in respect of the provision of banking and investments services to their clients and other investment services, tax and employment law issues. She has conducted legal due diligence reviews of major Greek companies for the listing of their shares on the Athens Exchange, drafted the relevant prospectuses, and conducted legal due diligence during mergers, acquisitions, and privatizations through the HRADF.
In her corporate real- estate experience, Anna has drafted and negotiated SPAs and numerous agreements for the acquisition-exploitation of real estate property owned by public legal entities and institutions, shopping centres, hotels, privately urban-planned areas, advising on co-ownership rules, shopping centres administration rules, preliminary contractor agreements, sale, and lease back agreements etc..
She was part of the legal team for the reform of the legislative framework for the recapitalization of cooperative banks. She has drafted the rules for bonds and subordinated bonds issued by Cooperative Banks for their recapitalization purposes according to Regulation 575/2013 (and previously according to law 3601/2007, Directive 2006/49/EC etc.).
Her dispute resolution work includes representation of financial institutions and corporate entities in connection to shareholder claims, service disputes and general commercial litigation.
Anna’s primary clients include rating agencies, international banks, investment firms, public companies, food businesses, companies in the hospitality sector and more.
